Job description

Fox Rothschild: national law firm (~1,000 attorneys, founded 1907). San Francisco office, Architecture, Engineering & Design Professional Firms practice.

Comp: $230K-$250K base; Hours bonus from 1,900 billable hrs + 10% of fees collected above $10K; prorated if joining before year-end. Location: Hybrid, 3 days in-office SF. Visa: Not open to visas (US citizen / Green Card).

Responsibilities

  • Manage M&A transactions with significant autonomy

  • Outside general counsel matters for corporations and pass-through entities

  • Draft/negotiate commercial contracts, entity formations, financings

  • Ownership transitions and entity governance

  • Work directly with partners Laura Howard, Adam Siegel, Lori Sanders (Architecture, Engineering & Design Professional Firms practice)

Job requirements

  • 4-6 yrs corporate/transactional with hands-on deal management

  • JD + active California bar

  • M&A, governance, formations experience

  • Strong drafting/negotiation; can lead deal teams

  • Hybrid 3 days SF; US citizen/GC
